MessageFoundry Individual Contributor License Agreement

⚠️ TEMPLATE — not yet legal advice. This CLA is adapted from common open-source CLAs (e.g. the Apache Individual CLA) with an added relicensing grant to enable dual-licensing. Have it reviewed by a lawyer before relying on it.

Thank you for contributing to MessageFoundry (the "Project"). This Contributor License Agreement ("Agreement") clarifies the intellectual-property rights granted with Contributions from any person or entity. By submitting a Contribution to the Project, You accept and agree to the following terms for Your present and future Contributions.

1. Definitions

  • "You" means the individual (or legal entity) submitting a Contribution and agreeing to this Agreement.
  • "Contribution" means any original work of authorship — including any modifications or additions to existing work — that You intentionally submit to the Project (e.g. via a pull request, patch, or issue attachment) for inclusion in or documentation of the Project.
  • "Project Owner" means MessageFoundry Organization, the owner and steward of the Project.

2. Grant of Copyright License

You grant the Project Owner and recipients of software distributed by the Project Owner a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works.

You further grant the Project Owner the right to license and relicense Your Contribution under any license terms, including both the Project's open-source license (currently AGPL-3.0-or-later) and separate proprietary/commercial license terms (dual-licensing / open-core). This grant is what allows the Project to remain sustainable; it does not transfer Your copyright — You retain ownership of Your Contribution.

3. Grant of Patent License

You grant the Project Owner and recipients of the Project a perpetual, worldwide, non-exclusive, royalty-free, irrevocable (except as stated below) patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contribution, where such license applies only to patent claims licensable by You that are necessarily infringed by Your Contribution alone or by combination of Your Contribution with the Project. If any entity institutes patent litigation alleging that Your Contribution, or the Project it was submitted to, constitutes patent infringement, any patent licenses granted under this Agreement for that Contribution terminate.

4. Your Representations

You represent that:

  1. You are legally entitled to grant the above licenses.
  2. Each Contribution is Your original creation, or You have authority to submit it under these terms (and where it includes third-party work, You have identified it and any associated license/restrictions).
  3. If Your employer has rights to intellectual property You create, You have received permission to make Contributions on behalf of that employer, or the employer has waived such rights, or the employer has executed a separate Corporate CLA with the Project.

5. No Obligation

You understand the Project Owner is not obligated to use or include Your Contribution. You provide Your Contributions on an "AS IS" basis, without warranties of any kind, express or implied.

6. Notice

You agree to notify the Project Owner of any facts or circumstances of which You become aware that would make these representations inaccurate in any respect.

7. Governing Law

This Agreement is governed by the laws of the State of Iowa, United States of America, without regard to its conflict-of-law provisions.
